Terms of Service

1. Agreement to Terms

By accessing or using RunSheet Pro ("the Service"), operated by Slate Canyon Technology LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These terms apply to all users of the Service, including organization administrators, staff members, and drivers.

2. Description of Service

RunSheet Pro is a patient transportation scheduling and dispatch platform designed for skilled nursing facilities, assisted living communities, and clinic-owned transport fleets. The Service provides tools for scheduling appointments, assigning drivers, tracking transportation status, and generating compliance reports.

RunSheet Pro is not a medical records system. It stores only the minimum information necessary for transportation scheduling: patient names, appointment times, medical destinations and providers, facility addresses, and driver assignments. Because this information identifies a resident together with their care, it constitutes protected health information (PHI) under HIPAA. RunSheet Pro handles it as a Business Associate under a Business Associate Agreement with each facility it serves, and hosts it on HIPAA-covered Google Cloud infrastructure with encryption in transit and at rest.

3. Accounts and Registration

To use the Service, you must create an account using Google Sign-In. You are responsible for maintaining the security of your account and for all activities that occur under your account.

Organization administrators are responsible for managing access to their organization, including inviting and removing users, and assigning appropriate roles (admin, staff, driver).

4. Free Trial and Billing

New organizations receive a 14-day free trial with full access to all features. No credit card is required to start a trial.

After the trial period, continued use of the Service requires a paid subscription. Subscription fees are billed monthly or annually as selected during checkout. All fees are non-refundable except as described in our 30-day money-back guarantee: if you are not satisfied within the first 30 days of your paid subscription, contact us for a full refund.

We reserve the right to change pricing with 30 days' notice. Customers on Founder's Pricing are locked in at their original rate for the duration of their continuous subscription.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Store protected health information (PHI) in free-text fields
• Share your account credentials with unauthorized users
• Attempt to gain unauthorized access to other organizations' data
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware or other harmful code

6. Data Ownership

You retain ownership of all data you enter into the Service. We do not claim ownership of your organization's data, including appointment records, resident information, driver records, or generated reports.

You grant us a limited license to use your data solely for the purpose of providing and improving the Service. We will not sell your data to third parties.

7. Data Retention and Deletion

Your data is retained for the duration of your subscription. Upon cancellation, your data will be retained for 30 days to allow for re-activation. After 30 days, your data may be permanently deleted.

You may request deletion of your data at any time by contacting us. We will process deletion requests within 30 days.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or damages resulting from service interruptions.

9. Limitation of Liability

RunSheet Pro is a scheduling and dispatch tool. We are not responsible for the actual transportation of patients, the actions of drivers, or any incidents that occur during transportation. Facilities remain solely responsible for the safety and care of their residents and patients.

To the maximum extent permitted by law, Slate Canyon Technology LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data or other intangible losses resulting from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

You may cancel your subscription at any time through the billing settings in the Service. We may suspend or terminate your access if you violate these terms, fail to pay subscription fees, or if we reasonably believe your use poses a security risk.

11. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these terms or the Service shall be resolved in the state or federal courts located in Utah.
